What we do

We buy good businesses and help them go further

If you have built a respected business and are thinking about retirement or your next chapter, the question is not only price. It is who looks after what you built.

We protect your legacy

Your name, your people and your client relationships are the value in the business. We respect them and build on them, rather than stripping them out.

We back your management team

We buy businesses that already run well without the owner in every decision. Your team keeps running the business, with more support behind them and more room to grow.

We invest to grow

We bring capital, practical AI and modern technology, and a strong support network, so the business and your team can do more, not less, after you step back.

We believe the people, the relationships and the reputation are the business. Our job is to protect them, and to help them grow.

About Baxma Capital

We care about what happens next.

Baxma Capital was founded on a simple belief. The businesses people spend a career building deserve a buyer who understands them, and who treats the people inside them with respect.

Who we are

A focused buyer of established UK businesses

Baxma Capital buys established, profitable businesses across the UK. We are led by clear criteria rather than by sector, because what makes a business worth backing is rarely the industry it happens to sit in.

Many owners worry that selling means handing the business to someone who sees only a spreadsheet. We take a different view. The team, the relationships and the reputation are the business, and our job is to protect them and help them grow.

What we stand for

Our principles

The commitments that guide how we work with every owner we meet.

We understand the business

We take the time to learn what actually drives your business, what makes it valuable and what would damage it, so we protect the things that matter.

We respect your legacy

The name you built and the trust behind it took years to earn. We treat that legacy with the care it deserves.

We look after people

Your team and your clients are the reason the business works. We provide stability, opportunity and support, not upheaval.

We act with integrity

Straight answers, fair terms and complete confidentiality, from the first conversation through to completion.

Want to know if we are the right fit?

The best way to find out is a short, confidential conversation. There is no commitment in talking.

Our approach

A fair and respectful process.

Selling the business you built should feel like passing it to someone you trust. Here is how we think, and exactly how we work.

How we think

What you can expect from us

We listen first

Every business and every owner is different. We start by understanding what matters most to you and your team.

We are straight with you

Clear terms and honest conversations. The deal we discuss is the deal we aim to do, with no games or last minute changes.

We move at your pace

A sale is personal. We flex the timeline and your ongoing role around what is right for you.

We protect, then improve

First we safeguard what works. Then we invest in technology, capacity and support to help the business grow.

We keep it confidential

Discretion at every stage. Nothing is shared, and you stay in control of the process throughout.

We are ready to act

Backed by an experienced advisory and funding network, we can move quickly and with certainty when the fit is right.

How it works

A clear path, no surprises

Most owners tell us the process is far simpler and more respectful than they expected.

01

Confidential conversation

A relaxed, private call to understand your business and what you want from a sale. No documents and no obligation.

02

Mutual fit and offer

If there is a fit, we share an honest, indicative valuation and outline of terms early, so there are no surprises.

03

Respectful due diligence

Efficient and discreet, handled by our advisory board and their firms. We work around you and your team, not in their way.

04

Completion and handover

We complete on the terms agreed, and support a smooth transition for your people and your clients.

We share our criteria openly, because we would rather have the right conversations than many.

Common questions

What owners ask us

What happens to my staff?
Your team is central to the value of the business, and to our plans for it. We invest in good people and look to give them more opportunity, not less.
What about our clients?
Protecting client relationships is a priority. We aim for continuity of service and a smooth, well managed transition.
What sectors do you buy in?
We are led by criteria rather than by sector. What matters is an established, profitable business with a management team already in place, clear room to grow and sound, checkable numbers. Charles built his career in insurance distribution and financial services, so those businesses are well understood here, but they are one part of what we look at rather than the whole of it.
Is my enquiry confidential?
Completely. Every conversation is private and without obligation. Nothing is shared, and you control the pace at every step.
How long does it take?
It varies by business, but we move efficiently and flex around your timeline. We are backed to act quickly when the fit is right.
What is the first step?
A short, confidential call. No documents are needed to start, and there is no commitment in talking.
What we bring

The support to help your business go further.

A good buyer should leave the business stronger than they found it. Here is what we bring after completion, and why it matters for your team and your clients.

01

Operating experience

Charles has built businesses from the ground up and led a fintech vertical at scale in a tightly regulated market. We understand distribution, client relationships and what it takes to run an established business day to day, so we respect how yours actually works and protect what makes it valuable.

02

AI and technology

We bring practical AI and modern technology to established businesses, applied only where it genuinely adds value: taking admin off your team, speeding up service and surfacing opportunities, so your people spend more time with clients and less on paperwork. AI supports your people here, it never replaces the relationships that make the business valuable.

03

Investment and capacity

We provide capital and resources to invest in growth, whether that is hiring, new lines, better systems or stronger market access. The business gains the means to do more.

04

Group strength and support

As part of a focused group, your business gains scale, shared expertise and back office support, while keeping the local character and relationships your clients value.

Our technology edge

Modern capability, applied with care

Baxma Capital is led by people with a deep background in artificial intelligence and financial services. But we start with the business, not the technology. We apply AI only where it genuinely helps, we leave well alone what already works, and we introduce any change gradually and with respect for how you operate.

Less admin

AI takes care of routine processing and paperwork, so your team spends time with clients instead of data entry.

Better service

Faster quotes, orders and responses, with fewer things slipping through the cracks, so clients feel well looked after.

Smarter growth

We help surface opportunities already sitting in your customer base, from cross sell to retention, that are easy to miss day to day.

Your clients keep dealing with the people they know. The technology simply works quietly in the background.

Why it matters to you

Continuity for your clients, opportunity for your team

A retiring owner often faces a hard choice. Sell to a large consolidator with scale but little personal care, or to a buyer who means well but cannot take the business forward.

We aim to offer both. The understanding and care of a specialist, with the investment and support of a group, so the business you built keeps serving clients and giving your people room to grow.

Growth and value

Curious how we would support your business?

Let us talk it through, confidentially and with no obligation.

You deal directly with the founder, supported by an experienced advisory board of M&A, legal, financial and funding specialists who help us acquire and improve with confidence.

Charles Elegbede, Founder
Founder

Charles Elegbede

Founder, Baxma Capital

Charles founded Baxma Capital to bring something the lower mid market rarely sees in a buyer: a deep background in artificial intelligence and financial services, paired with genuine respect for the businesses he acquires and the people inside them.

He built and led the fintech vertical at Cover Genius, one of the largest insurtech firms in the world, giving him a practical understanding of distribution, regulated markets and what it takes to run a modern business at scale. He developed his expertise in artificial intelligence at Microsoft. And as a serial founder who has built businesses from the ground up, he knows first hand what it takes to create something lasting, and what it means to hand it on to the right people.

His thesis is simple. Well run businesses with a capable team hold real value that modern technology can protect and extend, without ever losing the relationships at their heart. Charles leads every conversation personally, and brings that AI and financial services capability to help each business run better, serve clients faster and grow, while the name and the people behind it stay firmly in place.

Before you write

The questions owners ask us first

Do I need to have decided to sell?
Not at all. A good number of the owners we speak to are two or three years away from doing anything. An early conversation costs nothing and tends to make the eventual decision much easier.
Will you contact my staff or clients?
Never, unless and until you ask us to. Confidentiality runs one way at this stage, and it is entirely in your control.
Do I need my accounts ready?
No. Nothing is needed for a first conversation. Figures come later, and only once you are comfortable.
I am an advisor, not an owner. Should I get in touch?
Yes, please do. We work well with accountants, corporate finance advisors and intermediaries acting for retiring clients. Just say so in your message.
